Key Definitions

Platform: The Ashford website, exchange, and software wallet accessible at Ashford.co.com and any associated applications operated by DIRE MONEY TRANSMITTER LLC.
Company: DIRE MONEY TRANSMITTER LLC, a US-registered limited liability company and FinCEN-registered Money Services Business, the operator of the Ashford Platform.
User / You: Any individual who accesses, registers for, or uses the Ashford Platform, including prospective account holders browsing the website.
Account: A registered, identity-verified user account on the Ashford Platform that enables access to exchange and wallet services.
Digital Assets: Cryptocurrencies and other blockchain-based tokens supported by the Ashford Platform, including but not limited to Bitcoin (BTC) and Ethereum (ETH).
Services: The digital asset exchange, integrated software wallet, account management tools, and related features provided through the Ashford Platform.
KYC: Know Your Customer — the identity verification process required for all Ashford Accounts under applicable US anti-money laundering regulations.
AML: Anti-Money Laundering — the legal and operational framework governing the Company's obligations under the Bank Secrecy Act and related federal and state laws.

A. Acceptance of Terms

By accessing or using the Ashford Platform, you agree to be bound by these Terms of Use ("Terms"), our Privacy Policy, and our Cookie Policy, all of which are incorporated by reference into these Terms. If you do not agree to these Terms, you must not use the Platform. These Terms constitute a binding legal agreement between you and DIRE MONEY TRANSMITTER LLC.

We may update these Terms at any time. Updated Terms become effective upon posting to the Platform. Your continued use of the Platform after updated Terms are posted constitutes your acceptance of those changes. We will indicate the date of the most recent update at the top of this document.

B. Eligibility

To use Ashford Services, you must: (i) be at least 18 years of age; (ii) be a resident of a US state in which Ashford Services are available; (iii) have the legal capacity to enter into a binding contract; and (iv) not be prohibited from using digital asset services under any applicable US federal or state law.

Ashford Services are not available in all US states. Availability depends on DIRE MONEY TRANSMITTER LLC's current state money transmission licensing status. We reserve the right to restrict or terminate access for users in states where we do not hold the required license.

Services are not available to individuals who appear on the US Treasury's OFAC Specially Designated Nationals list or any other applicable sanctions list. By using the Platform, you represent that you are not such an individual.

C. Account Registration and Identity Verification

To access exchange and wallet features, you must create an Account and complete identity verification. You agree to provide accurate, current, and complete information during registration and to update that information promptly if it changes.

Identity verification requires submission of a government-issued photo identification document and personal information including your full legal name, date of birth, address, and other information required by our Customer Identification Program. We may request additional documentation at any time to meet our ongoing Customer Due Diligence obligations.

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at support@ashford.co.com if you become aware of any unauthorized use of your Account.

D. Permitted Use of the Platform

You may use the Ashford Platform only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Platform for any activity that violates US federal or state law, including any activity involving money laundering, fraud, tax evasion, or sanctions violations. Submit false, misleading, or fraudulent information during account registration or at any other time. Attempt to access, tamper with, or disrupt the Platform's technical infrastructure, security systems, or other users' accounts. Use automated tools, scripts, or bots to interact with the Platform without prior written authorization. Engage in any activity that imposes a disproportionate or unreasonable load on the Platform's infrastructure.

E. Digital Asset Transactions

All trades and transactions executed through the Ashford exchange are final once confirmed on the relevant blockchain network. We are not responsible for errors in transaction details submitted by users, including incorrect wallet addresses. Blockchain transactions are irreversible.

All transactions are subject to AML monitoring. Transactions that trigger our monitoring systems may be delayed or held pending review. We reserve the right to freeze account activity and report transactions to FinCEN or other regulatory authorities as required by law.

F. Fees

Fees applicable to exchange transactions, deposits, and withdrawals are disclosed within the Platform at the time of transaction. We reserve the right to modify fee schedules upon reasonable notice. Continued use of the Platform after fee changes take effect constitutes acceptance of the revised fees.

G. Risk Disclosure

Cryptocurrency and other digital assets involve substantial risk of loss. The value of digital assets fluctuates significantly and may decrease to zero. Past performance is not indicative of future results. Digital assets held on the Ashford Platform are not insured by the FDIC or any government deposit insurance program. Nothing on the Ashford Platform constitutes investment advice, financial advice, or a recommendation to buy, sell, or hold any digital asset. You bear full responsibility for all investment decisions made through your Account.

H. Intellectual Property

All content on the Ashford Platform, including text, graphics, logos, user interface design, and software, is the property of DIRE MONEY TRANSMITTER LLC or its licensors and is protected by applicable US intellectual property laws. You may not reproduce, distribute, or create derivative works from Platform content without our express written permission.

I. Limitation of Liability

To the maximum extent permitted by applicable law, DIRE MONEY TRANSMITTER LLC and its officers, employees, and agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of or inability to use the Platform, including losses arising from digital asset value fluctuations, unauthorized account access, or service interruptions. Our total liability to you for any claim arising under these Terms shall not exceed the fees you paid to us in the three months preceding the claim.

J. Indemnification

You agree to indemnify, defend, and hold harmless DIRE MONEY TRANSMITTER LLC and its affiliates, officers, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Platform, your violation of these Terms, or your violation of any applicable law.

K. Termination

We may suspend or terminate your Account and access to Services at any time, with or without notice, for any reason including violation of these Terms, failure to complete identity verification, activity inconsistent with our AML program, or regulatory requirements. Upon termination, we will process any pending withdrawals subject to applicable legal holds and AML review.

L. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles. Any dispute arising from these Terms or your use of the Platform shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in Atlanta, Georgia. You waive any right to participate in a class action lawsuit or class-wide arbitration.
